ROVE MILES PLATFORM TERMS OF USE

1.1 Platform

Rove Miles ("Rove," "we," "us," or "our") is a travel rewards and booking platform operated in the United States. By accessing or using the Platform, you acknowledge and represent that you have read, understood, and agree to be bound by these Terms and to comply with all applicable laws and regulations.

1.2 Right to Modify

We reserve the right to modify, amend, or update these Terms at any time, in our sole discretion. Any modifications will become effective immediately upon posting. Your continued use of the Platform after such modifications constitute acceptance of the revised Terms. You are responsible for reviewing these Terms periodically to stay informed of any changes.

2.1 Eligibility Requirements

• You must be at least 18 years old to register for or use the Platform.
• You must be a resident of the United States to create an account.

2.2 Account Creation

• When creating an account, you agree to provide accurate, complete, and current information about yourself, including a valid email address, full name, and phone number.
• You agree to promptly update your information should it change, to ensure it remains accurate, complete, and current.

2.3 Right to Reject or Terminate

• We reserve the right to reject any registration or terminate any account if we determine that you have violated these Terms or any applicable law.
• We may also refuse service, close accounts, or cancel requests at our sole discretion.

3.1 Security of Credentials

• You are solely responsible for maintaining the confidentiality of your account credentials, such as your username and password.
• You must promptly notify us via customer support and change your password if you suspect or become aware of any unauthorized access to your account.

3.2 Unauthorized Access

• We are not liable for any unauthorized access or activity on your account arising from your failure to safeguard your credentials.
• You agree to indemnify and hold Rove harmless for losses resulting from unauthorized access as detailed in Section 10.

3.3 Account Sales & Transfers

• You may not sell, transfer, or trade your account to any other party.
• Creating multiple accounts or sharing accounts to bypass restrictions or exploit promotions is strictly prohibited.

4.1 Authorized Activities

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform strictly for:

• Searching for flights and other travel services;
• Evaluating the value of your Rove Miles or other travel rewards;
• Booking travel services using Rove Miles or other accepted payment methods.

4.2 Prohibited Activities

You are agree not to:

• Conduct excessive, automated, or unreasonable searches that place an undue load on our system;
• Engage in scraping, data mining, or reverse engineering of the Platform or its content;
• Use the Platform to gather pricing data for competing services or third-party platforms;
• Access or attempt to access the Platform via bots, automated scripts, or unauthorized software.

4.3 Suspension or Restriction

We reserve the right to suspend or restrict any account engaging in misuse or prohibited activities, at our sole discretion.

5.1 Search Rate Limits

To maintain Platform stability and fair usage, we may impose limits on the number of flight searches you can perform within a given period. You agree to abide by these limits as specified within your account or as updated in our documentation.

5.2 Purpose of Searches

• Booking a flight;
• Evaluating the monetary or travel value of Rove Miles.

5.3 Business Purposes Prohibited

Using the search functionality for third-party business purposes, data aggregation, or commercial exploitation is strictly prohibited without our express written consent.

5.4 Enforcement

We reserve the right to suspend or terminate your account if we determine, in our sole judgment, that you have violated these search and fair use policies.

6.1 No Guarantee of Uninterrupted Service

While we strive to ensure the Platform is available at all times, we do not guarantee uninterrupted or error-free access.

6.2 Maintenance & Downtime

We may perform scheduled maintenance or experience unforeseen outages. During these periods, the Platform may be temporarily unavailable. We are not liable for any disruption or loss you may experience as a result of downtime.

6.3 No Liability for Disruptions

We disclaim any liability for losses or damages arising from service interruptions, delays, or other performance issues.

7.1 Ownership of Platform Content

All content and materials on the Platform, including but not limited to text, graphics, images, pricing data, and algorithms, are owned by or licensed to Rove Miles, its affiliates, partners, or respective owners, and are protected by intellectual property laws.

7.2 Restrictions on Use

• You may not copy, modify, reproduce, distribute, or create derivative works from any part of the Platform.
• Any unauthorized use of content may violate intellectual property rights and could result in legal action.

7.3 Feedback

If you provide any suggestions, comments, or other feedback ("Feedback"), you grant Rove a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, modify, and incorporate such Feedback without any obligation to you.

8.1 Integration with Third-Party Services

• Rove does not control these third-party services;
• Your use of these services is subject to additional terms and policies set by the third-party providers.

8.2 Disclaimer of Liability

We are not responsible for the content, accuracy, or policies of third-party sites or services linked through the Platform. Your reliance on or use of any third-party service is solely at your own risk.

9.1 No Warranties

To the maximum extent permitted by law, Rove provides the Platform “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 Pricing & Availability

• We do not guarantee the accuracy of travel pricing or the availability of flights, hotels, or any services listed on the Platform.
• Actual flight availability, pricing, or travel accommodations are subject to change at any time due to third-party airline or partner actions.
• We do not accept any liability if a flight or travel service becomes unavailable or changes in price while your booking or payment (including Rove Miles redemption or transfer) is being processed. You acknowledge that availability and pricing can fluctuate, and neither Rove Miles nor any third-party provider can guarantee that a specific flight or service will remain available at the initial price once the transaction or transfer is finalized.

9.3 Third-Party Actions

• Canceled or changed flights, schedule modifications, or disputes with travel providers;
• Errors in pricing or availability from airline partners;
• Performance or policies of third-party travel providers.

9.4 Limitation of Liability

• In no event shall Rove’s total liability exceed the amount you paid (if any) to use the portion of the Platform giving rise to the claim, or $100, whichever is greater.
• We are not liable for indirect, incidental, special, consequential, or punitive damages, including without limitation, lost profits, even if we have been advised of the possibility of such damages.

9.5 Maximum Extent Permitted by Law

All disclaimers, limitations, and exclusions in these Terms apply to the fullest extent allowed by applicable law.

10.1 User Indemnification

• Your misuse of the Platform;
• Your breach of these Terms;
• Your violation of any applicable law or regulation;
• Any activity performed on your account by you or another party using your credentials (whether or not with your knowledge).

11.1 Termination by Rove

• Violations of these Terms;
• Fraudulent or illegal activity;
• Threats to our systems or other users.

11.2 User-Initiated Termination

You may close your account at any time by contacting our customer support. Please note that termination or closure of your account may result in the forfeiture of any unredeemed or accrued rewards, in accordance with our separate Rewards Program Terms.

11.3 Survival

All provisions of these Terms relating to intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution shall survive any account termination.

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

12.2 Mandatory Arbitration

• Any dispute, controversy, or claim arising out of or in connection with these Terms or your use of the Platform shall be resolved by binding arbitration administered by a recognized arbitration provider.
• You waive the right to a trial by jury and agree that arbitration is your sole remedy for any dispute.

12.3 Class Action Waiver

All claims must be brought in the parties’ individual capacities, and not as a plaintiff or class member in any purported class or representative proceeding. You agree that you may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action.

12.4 Injunctive Relief

Nothing in this Section shall limit our right to seek injunctive or equitable relief in any court of competent jurisdiction to prevent or restrain actual or threatened infringement of our intellectual property rights.
